Pros:
- Price for high-end server is cut down to 90% - Amazing performance gains - LOADS of technical improvements, way to many to list here (see them listed here) - Developer edition is FREE Cons: you still need to use AS1 on the server-side, but you can use AS3 for client-side scripting.
